GENERAL
CORPORATE/ COMMERCIAL LAW
Advise on matters falling within the general areas of General
Corporate and Commercial law and related issues including matters
under the Companies and Allied Matters Act, concerning the operations
of business in Nigeria, such as the establishment and maintenance of
companies whether indigenous or subsidiaries/local affiliates of
foreign companies, joint ventures, sale of goods, leases and assets
purchase etc. Provide legal opinion covering commercial and financial
transactions and documentation where necessary. Corporate services
covering company formation and operation, company searches, due
diligence and verification. Advise as to acceptable legal procedures
and forms of business and commercial operations in Nigeria.
ENERGY AND NATURAL
RESOURCES LAW
Advise and provide legal opinion on legislations and pronouncements
relating to the oil and gas industry, covering areas such as legal
requirements for participation, tax regime, environmental standards,
interpretation of applicable laws; and providing legal services to oil
and gas concerns on an on-going basis.
Preparation of joint venture agreements, gas sale agreements, and
advising on the establishment of strategic alliances, partnerships and
joint venture arrangements in the oil and gas industry.
Arbitration arising out of disputes/disagreements with Government,
Technical partners, Joint Venture partners, Contractors, service
providers etc.
Provision of legal opinion on corporation and privatization issues
particularly as they concern the Energy sector in Nigeria.
CAPITAL
MARKETS; MERGERS AND ACQUISITIONS
Advising on regulations guiding listings by quoted companies with
Securities and Exchange Commission, general regulatory issues
governing capital market operations, share warrants, issues and
placings, introductions and underwritings
Advising on models for quoted and private company take-overs and
mergers, asset sales and purchases.
INTERNATIONAL
TRADE AND INVESTMENT
Represent clients in the manufacturing, trading, technology,
construction and service sectors wishing to establish businesses in
Nigeria either in partnership with Nigerians or through companies
wholly owned by non-Nigerians.
Assist clients in other areas requiring compliance with requisite
Nigerian investment laws and business regulations. These include
obtaining of all the requisite business permits and/or expatriate
quota allocations, Securities and Exchange Commission consents and
approvals, and certificate of capital importation.
BANKING AND
FINANCE
Nigeria has witnessed exponential growth in this sector, a trend that
has seen the number of banks grow from less than 25 to over 85 in just
over a decade.
On our part, we have kept apace with this growth, and continue to work
for a number of banking and financial institutions, acting to procure
requisite licences, drawing up contracts, effecting registration of
loan documentation, providing legal support and services on complex
projects and finance schemes; conducting due diligence on behalf of
client banks and other financial institutions, and generally provide
legal services on an on-going basis.
TAXATION
The firm offers comprehensive tax advice to corporate and individual
clients alike.
Particularly, the firm’s tax unit concentrates on energy and
infrastructure, manufacturing and telecommunication where there are a
myriad of applicable and sometimes conflicting tax laws.
